1. Provider and scope
These GTC apply to the use of the LeadQuero platform and to all contracts regarding its use between Tim Bent, sole proprietorship (hereinafter „LeadQuero“ or „Provider“), and the respective customer. Deviating conditions of the customer only apply if the provider has expressly agreed to their validity.
2. Exclusive orientation towards entrepreneurs
LeadQuero is exclusively aimed at entrepreneurs within the meaning of § 14 BGB, legal entities under public law and public-law special funds. By registering, the user confirms that they are acting in the exercise of their commercial or self-employed professional activity.
3. Subject of services
LeadQuero is a digital B2B research, company data and lead platform. It can in particular provide the search for companies based on industry, search terms, postal code, place, region or radius, the display of structured company information, the storage and management of leads as well as exports. A specific commercial success is not owed.
4. Test, beta and development operation
LeadQuero may be offered wholly or partly as a test, beta or development version. Functions, data sources and user interfaces may change during this phase. Mandatory statutory rights are not thereby excluded.
5. Technical platform Base44
LeadQuero is operated using the Base44 platform, which provides hosting/backend functions, authentication, database and API functions, email functions, analytics and integrations. Changes to this infrastructure may require technical adjustments.
6. External services and Google
LeadQuero may use external services, in particular Google Maps Platform, Places and Geocoding. The provider is not obliged to use a specific external data provider permanently.
7. Registration and user account
Registration is required for protected functions. Information must be correct, complete and up to date. Access data must be treated confidentially; abuse must be reported to the provider immediately.
8. Company and lead data
LeadQuero can aggregate information from publicly accessible sources, external interfaces and company websites and present it in a structured manner. The display of information does not mean that LeadQuero has individually verified its correctness.
9. No warranty for completeness and timeliness of external data
Company information can change at any time and may be incorrect, outdated or incomplete. LeadQuero does not owe a gapless, always current or error-free mapping of all companies or contacts.
10. No claim to a specific number or quality of leads
There is no claim that a specific search delivers a minimum number of results. A researched lead is not a promise of a contact, appointment, offer, order or revenue.
11. Lawful use
The user may only use LeadQuero within the framework of applicable laws and these GTC. Fraudulent acts, harassment, impermissible mass communication or attacks on technical systems are prohibited.
12. Advertising, telephone and email acquisition
The display of contact information does not constitute an assurance that advertising contact is legally permissible. The user is solely responsible for checking and complying with the relevant legal requirements before any acquisition measure. LeadQuero does not provide individual legal advice on this.
13. Processing of exported data
After an export, the user is responsible for further processing of the exported information within their area of responsibility.
14. Automated access and scraping
Bots, scrapers, automated mass access or systematic extraction of platform data are impermissible without express release.
15. Resale and database use
Systematic resale, public provision or mirroring of essential parts of LeadQuero data is not permitted without an appropriate license. Ordinary internal commercial use within the framework of the booked tariff remains unaffected.
16. Usage rights to the platform
Software, design, database structure, texts, trademarks and logos of LeadQuero may be subject to intellectual property rights. The customer receives a simple, non-exclusive, non-transferable right of use for the contract term.
17. User content
Users retain the rights to their own posted content. The user grants the provider the technically necessary rights for provision and processing and warrants that they are authorized to transmit.
18. Prices and tariffs
For paid services, the prices displayed at the time of contract conclusion apply. For entrepreneurs, prices are plus statutory value added tax where applicable.
19. Payment processing
Payments and subscriptions can be processed via the payment function integrated in Base44. LeadQuero generally does not store complete payment information itself.
20. Subscriptions and recurring payments
Term, renewal and cancellation period result from the tariff presented at contract conclusion. Changes to a tariff can affect quotas, scope of functions and price.
21. Payment default
In case of payment default, the statutory provisions apply. The provider can block paid functions after reasonable notice.
22. Usage limits and quotas
Tariffs may include search, export, storage or other quotas. The provider may use reasonable technical limits to prevent abusive use.
23. Availability and maintenance
The provider strives for high availability but does not owe uninterrupted availability. Maintenance, outages of Base44, Google or cloud infrastructure can lead to temporary restrictions.
24. Changes and further development
LeadQuero may further develop and technically change functions as long as the contractually owed main service is not unreasonably impaired.
25. Blocking
In case of concrete evidence of illegal or significantly contract-violating use, the provider can temporarily block access. The user will be informed of the reason and duration as far as possible.
26. Contract term and cancellation
Term and ordinary cancellation are governed by the respective tariff. The right to extraordinary cancellation for good cause remains unaffected. Users should export required data before the end of the contract.
27. Liability for own services
The provider is liable without limitation for intent, gross negligence and culpable injury to life, body or health. In case of slight negligence in the breach of essential contractual obligations, liability is limited to the foreseeable, contract-typical damage.
28. External data and third-party providers
For content and services of independent third-party providers, LeadQuero can only be liable within the framework of statutory requirements.
29. Force majeure and external disruptions
Events outside the reasonable sphere of influence (e.g. network disruptions, outages of central cloud providers, natural events, cyber attacks) can temporarily affect the service.
30. Indemnification for illegal use
If the user culpably infringes the rights of third parties through use attributable to them, they may be obliged to indemnify the provider against justified claims of third parties.
31. Data protection
Information on the processing of personal data is contained in the respectively current privacy policy of LeadQuero.
32. Confidentiality
Non-public commercial, technical or business information must be treated confidentially to a reasonable extent.
33. Changes to these GTC
Changes may become necessary if the legal situation, functions or business model change. Material changes will be communicated in an appropriate manner.
34. Set-off and retention
Set-off and retention rights are governed by statutory provisions.
35. Transfer of contract
Transfer of the contract by the user to third parties requires the provider's consent, unless otherwise provided by law.
36. Applicable law
German law applies to the exclusion of the UN Convention on Contracts for the International Sale of Goods.
37. Jurisdiction
If the customer is a merchant or legal entity under public law, a legally permissible place of jurisdiction at the provider's seat can be agreed. Mandatory statutory places of jurisdiction remain unaffected.
38. Final provisions
If one provision of these GTC is invalid, the validity of the remaining provisions remains unaffected. Individual agreements take precedence over these GTC.
